HAPPY GUEST TERMS OF SERVICE

Welcome to Happy Guest. These Terms of Service ("Terms") govern your use of the Happy Guest platform.

AGREEMENT TO TERMS

By accessing or using Happy Guest, you agree to these Terms, our Privacy Policy, and all other policies we make available (collectively, "Policies"). If you don't agree, don't use the platform.

If you're using Happy Guest on behalf of a business or organization:

  • You confirm you have authority to bind that entity to these Terms

  • All references to "you" include that entity

Age requirement: You must be at least 13 years old to use Happy Guest.

Binding agreement: Clicking "Continue," creating an account, or using the platform constitutes your legal acceptance of these Terms.

DEFINITIONS

"User" means anyone who uses Happy Guest—property owners, property managers, guests, vendors, staff, or representatives. All Users have the same obligations under these Terms, regardless of their role.

"Platform" means the Happy Guest technology, including our website, mobile apps, APIs, and integrations.

"Content" means any text, images, documents, messages, house rules, access instructions, or other materials submitted to or generated by the platform.

"Policy" means any official legal document published by Happy Guest (like these Terms or our Privacy Policy).

WHAT HAPPY GUEST DOES

Happy Guest is a technology platform that connects Users with tools for:

  • Guest identity verification

  • Rental agreements and documentation

  • Pre-arrival logistics and communications

  • Property management integrations

  • Damage protection services

What we are: A software platform What we're not: A booking site, insurance company, property manager, real estate agent, broker, or financial advisor

YOUR LICENSE TO USE HAPPY GUEST

We grant you a limited, non-exclusive, non-transferable, revocable license to use the platform.

You may:

  • Access and use Happy Guest for its intended purposes

  • Create and manage reservations

  • Use platform features for your properties or bookings

  • Export your own data

You may not:

  • Copy, scrape, or reverse-engineer the platform

  • Use Happy Guest to train AI or for competitive research

  • Circumvent security controls or payment flows

  • Share your account credentials

  • Use the platform for illegal purposes

We may suspend or terminate your access at any time for violations of these Terms.

CONTENT YOU SUBMIT

Your Responsibilities

You're responsible for ensuring anything you submit to Happy Guest is:

  • Legal and accurate

  • Non-infringing (doesn't violate others' rights)

  • Not harmful or misleading

This includes house rules, access instructions, messages, photos, documents, and any other content.

If you submit illegal or harmful content:

  • We may remove it without warning

  • We may suspend your account

  • We may report it to authorities

  • You remain fully responsible for it

Even when we help format, enhance, or polish your content, you remain responsible for ensuring the underlying information is accurate and appropriate for your use.

Raw Data You Provide

You retain ownership of the basic information and data you bring to Happy Guest, including:

  • Property names and addresses

  • Contact information

  • Reservation details you input

  • Basic house rules and policies

  • Access codes

  • Original photos (non-verification)

By submitting this raw data, you grant Happy Guest a non-exclusive, royalty-free, worldwide license to:

  • Process and store it

  • Display it to relevant Users

  • Use it to provide platform features

  • Create anonymized analytics

  • Comply with legal obligations

This license is perpetual for platform improvement purposes (we can use anonymized versions to improve features), but you can export your raw data at any time before closing your account.

Identity Documents - Limited License Only

For government IDs, selfies, and verification photos, you grant Happy Guest a strictly limited license:

What we can do:

  • Transmit to third-party verification services

  • Use for fraud prevention and security

  • Comply with legal obligations

What we CANNOT do:

  • Use for marketing

  • Use for AI training

  • Use for any unrelated purposes

Automatic deletion: Identity document image files are automatically deleted 7 days after reservation check-out (see Privacy Policy for details).

You retain full ownership of your identity documents. This limited license does not transfer ownership to Happy Guest.

Platform-Enhanced Content - Happy Guest Ownership

Here's the critical distinction:

When Happy Guest creates, generates, formats, polishes, or enhances content based on your inputs or through platform features, Happy Guest owns that enhanced content.

Platform-enhanced content includes:

  • AI-generated guest messages and communications

  • Formatted and polished versions of your house rules

  • Arrival instructions created by the platform

  • Automated check-in flows

  • Template-based content

  • Any material where Happy Guest's systems have added formatting, structure, tone, or additional content

By using Happy Guest, you agree that:

  • Happy Guest retains all intellectual property rights in platform-enhanced content

  • You receive a limited, non-exclusive, non-transferable, revocable license to use this content only within the Happy Guest platform

  • You may NOT copy, reproduce, extract, or use platform-enhanced content outside of Happy Guest

  • You may NOT provide platform-enhanced content to competing platforms or services

  • This ownership is perpetual and irrevocable, surviving account termination

What this means in practice:

You CAN: Export your raw data (property address, basic policy text, access codes)
You CANNOT: Copy Happy Guest's polished, formatted, AI-enhanced versions for use elsewhere

Example:

  • Your input: "No parties. Check in 3pm. WiFi password abc123."

  • Happy Guest enhancement: "Welcome to [Property Name]! We're excited to host you. Check-in is at 3:00 PM. Your WiFi password is abc123. Please note our quiet hours policy: gatherings are limited to registered guests only. Here are our top 5 local restaurant recommendations..."

  • You own: The basic facts (3pm check-in, wifi password, no parties rule)

  • Happy Guest owns: The formatted, enhanced message with tone, structure, and recommendations

Your License to Use Platform-Enhanced Content

While you're a Happy Guest customer, you can:

  • Use all platform-enhanced content for your reservations

  • Customize templates within the platform

  • Send AI-generated messages to your guests

  • Use all platform features

After you leave Happy Guest:

  • Your license to use platform-enhanced content immediately terminates

  • You must stop using any Happy Guest-formatted materials

  • You may only use the raw data you originally provided

  • Export your data BEFORE closing your account

Prohibition on Reproduction

You may NOT:

  • Screenshot or copy platform workflows for use elsewhere

  • Reproduce Happy Guest's templates or formatting in other systems

  • Share platform-enhanced content with competing services

  • Allow employees of competing companies to access or analyze platform content

  • Use any Happy Guest intellectual property outside the platform

Violation of this prohibition constitutes breach of contract and intellectual property infringement, for which Happy Guest reserves all legal remedies.

PLATFORM INTELLECTUAL PROPERTY

What Happy Guest Owns

Happy Guest Inc. owns all platform intellectual property, including:

The Platform Itself:

  • Source code and software

  • User interface and design

  • Database architecture and data models

  • Workflows and automation systems

  • Proprietary features and tools

  • APIs and integrations

Platform-Generated and Enhanced Content:

  • Templates and formatted content

  • AI-generated messages and communications

  • Polished versions of User-submitted content

  • Arrival instructions and check-in flows

  • Automated workflows and sequences

  • Any content created, formatted, or enhanced by Happy Guest systems

Proprietary Methods:

  • Verification workflows

  • Communication templates

  • Formatting algorithms

  • Branding and design elements

Platform-Generated Content

Happy Guest creates various materials for Users, including:

  • Arrival instructions

  • Automated guest messages

  • Agreement templates

  • Check-in flows

  • Formatted house rules

  • Communication sequences

Ownership: Happy Guest retains complete ownership of all platform-generated content. This is not a license—it's ownership.

Your Rights While Using Happy Guest

As a Happy Guest customer, you receive a limited, non-exclusive, non-transferable, revocable license to use platform-generated and enhanced content strictly within the Happy Guest platform.

You may:

  • Use all platform features for your reservations

  • Send platform-generated messages to your guests

  • Customize templates within the platform

  • Access and use all available tools

You may NOT:

  • Copy or reproduce platform content for use outside Happy Guest

  • Extract workflows or features for use with competing services

  • Share platform-generated content with third parties for competitive purposes

  • Screenshot or document platform features for competitor analysis

  • Reverse engineer or replicate any Happy Guest systems

When Your Rights End

Upon account termination or closure:

  • Your license to use platform-generated content immediately terminates

  • You must cease all use of Happy Guest materials

  • You must stop using any platform-enhanced versions of your content

  • You may only continue using the raw data you originally provided

Exception: You may export your raw data before closing your account. This does NOT include platform-enhanced versions.

Enforcement

Unauthorized use includes:

  • Using platform-enhanced content after account termination

  • Providing Happy Guest materials to competing platforms

  • Allowing competitor employees to access your account

  • Reproducing platform workflows in other systems

  • Sharing templates or AI-generated content outside Happy Guest

Consequences: Happy Guest reserves all legal remedies for intellectual property infringement, including but not limited to:

  • Copyright infringement claims

  • Trade secret misappropriation

  • Breach of contract

  • Unfair competition

  • Injunctive relief

  • Damages and attorneys' fees

No Implied Rights

Your use of Happy Guest does not grant any ownership, implied license, or rights beyond what's explicitly stated in these Terms. All rights not expressly granted are reserved by Happy Guest Inc.

PROHIBITED CONDUCT

General Prohibitions

You may not:

  • Violate any laws or regulations

  • Infringe others' intellectual property

  • Submit false or misleading information

  • Harass other Users or abuse support staff

  • Post defamatory content about Happy Guest or our team

  • Misrepresent your affiliation with Happy Guest

Platform Security

You may not:

  • Use bots, scrapers, or automation tools to access the platform

  • Attempt to circumvent security measures

  • Access other Users' accounts

  • Interfere with platform operations

  • Extract or replicate platform features

Competitive Use & Intellectual Property Protection

You may NOT:

  • Share platform access with employees or contractors of competing software companies

  • Allow competitors to view, access, or analyze platform features

  • Screenshot, record, or document platform workflows for competitive purposes

  • Extract, copy, or reproduce platform-enhanced content for use elsewhere

  • Provide Happy Guest templates or materials to competing platforms

  • Use Happy Guest as a reference or model for building competing products

  • Reverse engineer, decompile, or attempt to derive source code

  • Benchmark Happy Guest for competitive analysis

This prohibition applies whether the activity is:

  • Direct or indirect

  • Intentional or negligent

  • Performed by you or by someone you've granted access

Example violations:

  • Copying AI-generated messages into a competitor's system

  • Taking screenshots of workflows to show a competing platform

  • Hiring someone to "test" Happy Guest while working for a competitor

  • Using platform-enhanced house rules in another vacation rental platform

Consequences

Violation of these prohibitions may result in:

  • Immediate account suspension or termination

  • Loss of all access to platform-generated content

  • Legal action for intellectual property infringement

  • Claims for damages, injunctive relief, and attorneys' fees

  • Reporting to authorities (for illegal activity)

For intellectual property violations specifically: Happy Guest reserves the right to pursue all available legal remedies, including but not limited to copyright infringement, trade secret misappropriation, breach of contract, unfair competition, and tortious interference. We will seek maximum remedies available under law.

We reserve all legal remedies for violations, including claims of copyright infringement, trade secret misappropriation, breach of contract, and unfair competition.

FEES & PAYMENTS

How Happy Guest Earns Revenue

Happy Guest earns revenue through transactions processed on the platform. Fees and pricing may change at any time.

Payment Terms

  • All purchases are final unless required by law

  • We may adjust fees to maintain platform integrity

  • Refunds are at our discretion

What Happy Guest Is NOT

  • Not an escrow agent: We don't hold funds on your behalf

  • Not a fiduciary: We have no financial obligation to you

  • Not a party to transactions: When Users transact with each other, we're just the platform

User Responsibility

You're responsible for:

  • Setting your own pricing

  • Determining what charges are appropriate

  • Understanding the nature of fees you collect

  • All financial record-keeping

TAXES & FINANCIAL RESPONSIBILITY

Your Tax Obligations

You are solely responsible for all taxes, including but not limited to:

  • Lodging or occupancy taxes

  • Sales or use taxes

  • Tourism or hospitality levies

  • VAT or other local taxes

  • Income taxes on revenue earned

What Happy Guest Does NOT Do

We do not:

  • Determine tax applicability

  • Collect taxes on your behalf

  • Remit taxes to authorities

  • Provide tax advice

  • Act as a tax authority

Fee Classifications

Optional services like early check-in, pet fees, or amenity upgrades are considered optional add-ons, not rent. You're responsible for properly classifying each charge based on your legal obligations.

Disclaimer

Happy Guest disclaims all responsibility for:

  • Misclassification of transactions

  • Failure to collect applicable taxes

  • Tax audits or penalties

  • Financial outcomes

We are not tax advisors. Consult a qualified professional for tax guidance.

PROMOTIONS & REFERRALS

Promotional Programs

Happy Guest may offer promotional programs, referral incentives, affiliate partnerships, revenue shares, credits, or discounts ("Promotions").

Important:

  • Participation is optional

  • Promotions may change or end at any time

  • No Promotion is guaranteed

  • We may modify terms without notice

  • Disputes are resolved at our discretion

No Binding Obligation

Unless expressly stated in a written agreement signed by an authorized officer of Happy Guest Inc., no promotional offer creates a binding obligation or contract right.

Marketing Disclaimers

Any success stories, case studies, or expected earnings in our marketing materials are:

  • For illustrative purposes only

  • Not guarantees of results

  • Not binding offers

Your actual results may vary.

Affiliate Rules

If you participate in affiliate or referral programs:

  • Don't make representations beyond our official marketing materials

  • Don't present yourself as our employee or agent

  • Don't speak on behalf of Happy Guest

We're not responsible for inaccurate or unauthorized statements by affiliates.

DISCLAIMERS & LIMITATIONS

How We Provide The Platform

Happy Guest is provided "as is" without warranties of any kind, express or implied.

What We're Responsible For

Happy Guest is responsible for:

  • Maintaining a functional platform

  • Protecting data according to our Privacy Policy

  • Processing information between services

  • Providing customer support

  • Responding to security incidents as required by law

What We're NOT Responsible For

Technical Issues:

  • System outages or downtime

  • Data syncing errors

  • Integration failures with third-party services

  • Failed payments or chargebacks

  • Smart lock malfunctions

Content & Features:

  • Accuracy of platform-generated content

  • Legal sufficiency of templates

  • Results from automations or suggestions

  • Completeness of arrival instructions

Third-Party Services:

  • Verification service accuracy

  • Insurance claim decisions

  • Property management system functionality

  • Booking platform policies

  • Payment processor issues

User Decisions & Actions:

  • Guest behavior

  • Property conditions

  • Rental agreement legality

  • HOA compliance

  • Local regulation compliance

You must review all platform-generated content before use.

Liability Cap

For issues directly caused by Happy Guest platform failures (data breach, extended outage, processing errors), our total liability is capped at $100 aggregate.

This cap applies to:

  • Platform malfunction

  • Data security incidents within our control

  • Processing errors in our systems

This cap does NOT apply to:

  • Insurance claims (handled by insurance providers)

  • Third-party service failures

  • User decisions or conduct

  • Transactions between Users

Use At Your Own Risk

You understand that:

  • No technology platform is perfect

  • Features may have bugs or limitations

  • Third-party integrations may fail

  • You should have backup plans for critical operations

NO PROFESSIONAL ADVICE

Informational Materials Only

Happy Guest may provide templates, guides, FAQs, blog posts, automated messages, and other informational materials.

These are NOT professional advice.

What We Don't Provide

Happy Guest does not provide:

  • Legal advice

  • Tax advice

  • Insurance advice

  • Financial advice

  • Regulatory compliance advice

No one at Happy Guest is authorized to give professional advice, including employees, contractors, support staff, or AI chatbots.

Your Responsibility

You must:

  • Consult qualified professionals (lawyers, accountants, etc.)

  • Review and customize all templates before use

  • Ensure compliance with applicable laws

  • Understand your legal obligations

AI-Generated Content

We may use AI tools for support responses or suggestions.

AI content:

  • May contain errors

  • Is not professional advice

  • Must be reviewed by you

  • Doesn't modify our Policies

Third-Party Content

If we share third-party resources:

  • We're not endorsing their accuracy

  • You evaluate their suitability

  • We're not liable for outcomes

ACCESS CODES & ENTRY

Users provide arrival instructions, access codes, and entry credentials via the platform.

Happy Guest does not:

  • Validate access codes

  • Test entry procedures

  • Verify instruction accuracy

If access codes fail or entry doesn't work, Happy Guest is not responsible.

You must verify all access information is correct before guests arrive.

FUNCTIONALITY & AVAILABILITY

No Guarantees

Happy Guest makes no guarantees about:

  • 100% uptime

  • Permanent feature availability

  • Compatibility with all systems

  • Specific performance standards

What Can Happen

  • Features may be added, changed, or removed

  • Bugs or outages may occur

  • Integrations may experience issues

  • Updates may change functionality

Beta Features

Features marked as beta, experimental, or "in development" are:

  • Provided without warranty

  • Subject to change or removal

  • Not guaranteed to work perfectly

Use all features at your own risk.

INDEMNIFICATION

You agree to indemnify and hold harmless Happy Guest Inc., its officers, directors, employees, and agents from claims arising from:

  • Your use of the platform

  • Your violation of these Terms or any Policy

  • Your violation of applicable laws

  • Content you submit

  • Your infringement of third-party rights

This means: If someone sues Happy Guest because of something you did, you're responsible for those costs and damages.

TERMINATION

Our Right to Terminate

We may suspend or terminate your access at any time for:

  • Violation of these Terms or any Policy

  • Suspicious or fraudulent activity

  • Intellectual property infringement

  • Competitive use violations

  • Non-payment

  • Any reason or no reason (at our discretion)

Effect of Termination

When your access ends, the following occurs immediately:

Your licenses terminate:

  • All rights to use platform-generated content cease

  • All rights to use platform-enhanced content cease

  • Your license to access the platform ends

You must:

  • Stop using any Happy Guest materials

  • Stop using platform-enhanced versions of your content

  • Cease all access to the platform

  • Delete any platform screenshots or documentation in your possession

You may:

  • Export your raw data BEFORE termination (if possible)

  • Continue using only the raw data you originally provided

  • Keep your own original materials (that weren't enhanced by Happy Guest)

What survives termination:

  • Happy Guest's ownership of platform-generated content (perpetual)

  • Happy Guest's ownership of enhanced versions of your content (perpetual)

  • Your obligations under these Terms (indemnification, dispute resolution, IP restrictions)

  • Any amounts owed to Happy Guest

Important: Export your raw data before closing your account. After termination, you will not be able to access the platform or any content stored within it.

Account Review

We reserve the right to review, audit, or inspect any User account or activity at any time for:

  • Fraud prevention

  • Policy enforcement

  • Intellectual property protection

  • Legal compliance

  • Platform integrity

DISPUTE RESOLUTION

Binding Arbitration

All disputes will be resolved through binding arbitration, not in court.

Arbitration details:

  • Location: Broward County, Florida

  • Rules: American Arbitration Association (AAA)

  • Governing law: Federal Arbitration Act and Florida state law

What You Waive

By using Happy Guest, you waive:

  • Right to trial by jury

  • Right to participate in class actions

  • Right to bring representative proceedings

You can only resolve disputes with Happy Guest on an individual basis.

Exceptions

Happy Guest may seek injunctive relief in court to:

  • Protect intellectual property

  • Prevent unauthorized platform access

  • Stop ongoing violations

Costs

Each party bears its own costs and attorneys' fees unless required by law.

GENERAL TERMS

Modifications

We may update these Terms at any time. Continued use of the platform after changes means you accept the updated Terms.

For significant changes, we may notify you via email or platform notification.

Governing Law

These Terms are governed by Florida law, without regard to conflict of law principles.

Severability

If any provision is found invalid, the rest remains in effect. Invalid provisions will be modified only to the extent necessary to make them enforceable.

No Waiver

Our failure to enforce any right doesn't waive that right. Waivers must be in writing and signed by an authorized officer.

Assignment

You may not assign these Terms without our consent. We may assign them freely.

Entire Agreement

These Terms and our Policies constitute the complete agreement between you and Happy Guest.

You acknowledge:

  • You haven't relied on statements outside our official Policies

  • Only formally published Policies are binding

  • Verbal statements don't modify our Terms

  • Modifications must be in writing from Happy Guest

Survival

Provisions that should survive termination (including disclaimers, indemnity, IP ownership, liability limits, arbitration) remain in effect after termination.

No Agency

These Terms don't create any employment, partnership, or agency relationship.

EXPORT CONTROLS

You may not use Happy Guest if:

  • You're in a country subject to U.S. sanctions

  • You're on U.S. government restricted party lists (including OFAC's Specially Designated Nationals list)

By using the platform, you confirm you're not subject to these restrictions.

INTERNATIONAL USERS

United States Operations

Happy Guest is intended for use within the United States. The platform is not GDPR compliant.

EU/UK Users

If you're located in the European Union or United Kingdom:

  • You may use Happy Guest for U.S. property reservations

  • You're using the platform knowing we don't meet GDPR standards

  • See our Privacy Policy for details on data protection

  • You're responsible for ensuring your use complies with local laws

Governing Law

All use of Happy Guest is governed by U.S. law, regardless of where you're located.

COMMUNICATION CONSENT

By using Happy Guest, you consent to receive:

  • Transactional messages (reservation confirmations, updates)

  • Operational messages (platform updates, security alerts)

  • Support messages (responses to your questions)

  • Promotional messages (new features, offers—you can opt out)

Communication methods: Email, SMS, in-app messages, push notifications, phone calls (where permitted by law).

Your electronic signatures are legally binding.

CALIFORNIA CONSUMER RIGHTS

California residents can file complaints with:

WAIVO® DAMAGE PROTECTION TERMS

The following terms apply when you use Waivo® damage protection services through Happy Guest.

ABOUT WAIVO®

Happy Guest partners with Rental Protect, LLC (DBA Waivo®) to offer damage protection. Waivo is a third-party damage waiver provider, not an insurance company.

Important: You are not a party to the agreement between Happy Guest and Waivo. These terms explain how the damage protection works.

HOW DAMAGE PROTECTION WORKS

What Waivo Covers

When you purchase a damage waiver for a reservation, Waivo assumes responsibility for theft or damage to rental property resulting from guest acts or omissions, up to the waiver limit purchased.

Coverage Limits

  • Maximum coverage: The waiver limit you selected for that reservation

  • Minimum claim: $50 (Waivo won't process claims under $50)

  • Each waiver covers one continuous stay

What's Required for Coverage

Before Guest Arrival:

  • Waiver must be purchased before guest check-in

  • Only available for paying guests

  • Must use Waivo's standard waiver (no modifications)

After Guest Departure:

  • Damage must be reported within 14 days after guest check-out

  • All documentation must be submitted within 90 days

  • Claims close after 90 days without extension approval

YOUR RESPONSIBILITIES

Using The Waiver

  • Use Waivo's waiver exactly as provided (no edits)

  • Purchase before guest check-in

  • Only use for paying guests

Reporting Damage

Submit damage notices within 14 days after guest departure to:

  • Waivo client portal (when provided access)

Required Information

Damage notices must include:

  • Your full name and company name (if applicable)

  • Guest's full name

  • Check-in and check-out dates

  • Property address

  • Detailed damage description

  • Make/brand/model of damaged items

  • Estimated repair or replacement cost

  • Photos of each damaged item

  • Police report (for theft claims)

  • Proof of waiver

Documentation Deadline

  • Submit complete documentation within 90 days

  • Claims close without payment if documentation is incomplete

  • Time is of the essence

WHAT WAIVO DOES

Assessment Timeline

Waivo will assess damage notices within 2 business days of receipt.

Reimbursement

If Waivo accepts responsibility:

  • Payment via ACH, check, or other acceptable method

  • Up to the waiver limit for that reservation

  • Only for direct damage or theft to your property

Reimbursement Caps

  • Assembly of replacement furniture: Maximum $50

  • Minimum claim amount: $50

WHAT'S NOT COVERED

Waivo is not responsible for:

Natural Events:

  • Acts of God

  • Natural disasters

Existing Conditions:

  • Prior damage

  • Cosmetic damage

  • Normal wear and tear

Theft Without Documentation:

  • Theft without valid police report

Operational Issues:

  • Loss of use of property

  • Odor or debris removal

  • Backup of sewers or drains

  • Clogged plumbing

  • Excess trash

  • Laundering linens

  • Pool/spa maintenance

  • Mechanical breakdown

Animals & Pests:

  • Rodent, termite, or infestation damage

  • Wild animal damage

Special Items:

  • Fine art or collectibles

  • Sets of items (unless entire set is damaged)

  • Motorized vehicles

Indirect Losses:

  • Consequential loss

  • Lost profits

Guest Property:

  • Items owned by the guest or their invitees

WAIVO'S AUTHORITY

Waivo has sole authority to:

  • Determine nature and extent of damages

  • Decide on necessary repairs

  • Assess eligibility for reimbursement

  • Determine reimbursement value

This authority will be exercised reasonably.

LIMITATIONS

Recovery Rights

If Waivo reimburses for stolen items:

  • Waivo is entitled to any recovery of the items

  • Waivo may pursue the guest for recovery

  • Waivo reserves all legal rights

Property Ownership

Waivo will only reimburse for:

  • Property you own, manage, or lease

  • Property located at the rental property

No Post-Check-In Purchase

Waivers cannot be purchased after a guest has checked in.

INTELLECTUAL PROPERTY

By using Waivo services through Happy Guest, you acknowledge:

  • You receive no license to Waivo's intellectual property

  • You cannot use Waivo's trade names, service marks, or logos

  • Access is limited to what's necessary to comply with these terms

LIABILITY LIMITS

Waivo is not liable for:

  • Lost profits

  • Cost of re-procurement

  • Loss of expected savings

  • Consequential, incidental, special, indirect, or punitive damages

You have no direct contractual relationship with Waivo except as outlined in these terms.

Insurance Clarification

  • Waivo maintains insurance to cover obligations under waivers

  • Neither Happy Guest nor Waivo is an insurance company, agent, or broker

TERMINATION

If the agreement between Happy Guest and Waivo terminates:

  • You lose access to damage protection

  • Waivo is not responsible for waivers purchased for future reservations

  • Waivo won't respond to damage notices received after termination date
